Next Chapter Living, LLC – Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. By accessing or using the Next Chapter Living website, applications, and services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions (these "Terms"). These Terms are a legally binding agreement between you and Next Chapter Living, LLC ("Next Chapter Living," "NCL," "we," "us," or "our"). If you do not agree with any part of these Terms, you must not use the Platform.

NOTICE: SECTION 16 CONTAINS AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 16.

1. Acceptance, Eligibility, and Changes

  • Acceptance. Your use of the Platform, including browsing listings or creating an account, constitutes your acceptance of these Terms and of our Privacy Policy, which is incorporated by reference. You confirm that you have read and understood these Terms and agree to be bound by them.
  • Electronic agreement. You consent to transact with us electronically. Your electronic acceptance of these Terms has the same force and effect as a signed agreement, and you agree to receive notices and records from us electronically.
  • Eligibility. The Platform is intended for individuals 18 years of age or older. By using the Platform you represent that you are at least 18 and legally able to form a binding contract. The Platform is not directed to children, and persons under 18 may not register or use it.
  • Changes to these Terms. We may update these Terms from time to time by posting the revised version with a new Last Updated date. For material changes, we will provide reasonable advance notice, such as by email to account holders or a prominent notice on the Platform. Your continued use of the Platform after the effective date of a change constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Platform.

2. Our Services, Our Role, and How We Are Paid

  • What we do. Next Chapter Living operates an online platform that helps seniors and families research senior living options and connect directly with senior living communities and related businesses ("Communities" or "Facilities"), and that enables Communities to present their information to families. Use of the Platform is free for consumers. We do not charge families to search, browse, compare, submit inquiries, book tours, join waitlists, or communicate with Communities through the Platform.
  • How we are paid. Participating Communities pay Next Chapter Living fees for our marketing, referral, and connection services. Because participating Communities pay us, our service can be offered to families at no charge. We never charge families a fee, we never charge or accept a commission or placement fee tied to anyone's move-in, and we never take a percentage of anyone's rent or care charges. The specific fees Communities pay are set out in separate agreements between Next Chapter Living and each participating Community and may be based on participation, services provided, or results delivered.
  • What payment does and does not affect. Participation affects the features, completeness, and presentation of a Community's profile, and participating Communities receive enhanced profiles and tools. Payment never changes the public regulatory data we display, and no Community can pay us to alter, suppress, or remove public record information, ratings drawn from official sources, or reviews, except as provided in our published moderation criteria.
  • Not an agent, broker, or provider. Next Chapter Living is not a senior living provider, healthcare provider, placement agent, or broker for any party. We do not own or operate any senior housing facility, we do not perform care assessments, we do not make or influence admission decisions, and we do not negotiate rates or terms between you and any Community. Our Platform is an information and connection service only. Any decision to contact, visit, or engage a Community is yours alone.
  • No endorsement. The inclusion of any Community on the Platform, and any score, rating, or data display drawn from public sources, is not an endorsement, recommendation, or guarantee of that Community by Next Chapter Living.

3. Communities and Their Responsibilities

  • Communities are solely responsible for their services. Communities listed on the Platform are independent businesses. They are solely responsible for their care, services, staffing, licensing, regulatory compliance, admissions decisions, pricing, availability, and all interactions with you, before and after any move-in. Next Chapter Living does not supervise, direct, or control any Community, does not conduct background checks on Community staff, and does not verify that a Community complies with health, safety, licensing, or other legal requirements beyond displaying information from the public sources described in Section 4.
  • Community content. Communities are solely responsible for the content they post or provide, including descriptions, photographs, video, pricing, availability, amenities, responses to reviews, and any other materials ("Community Content"). We do not verify or guarantee the accuracy or completeness of Community Content. Information on listings may be inaccurate, incomplete, or out of date, and you should confirm all important details, including pricing and availability, directly with the Community.
  • No medical, legal, or financial advice. All information available through the Platform is provided for general informational purposes to assist senior living research. It is not medical, legal, financial, or professional advice, and it is not a substitute for consultation with qualified professionals. Never disregard professional advice, or delay seeking it, because of something you read on the Platform.
  • Emergencies. The Platform is not monitored for emergencies. If you or someone else is experiencing a medical or safety emergency, call 911 immediately.

4. Public Regulatory Data, Unclaimed Profiles, and Neighborhood Information

  • Unclaimed profiles. To provide a comprehensive directory, we display profiles of communities that have not claimed a listing or joined the Platform ("Unclaimed Profiles"). Unclaimed Profiles are compiled by Next Chapter Living from publicly available state and federal sources, such as licensing records, inspection and survey outcomes, citations, fines, and official ratings. Communities associated with Unclaimed Profiles are not customers of Next Chapter Living unless and until they claim their profile, and information on Unclaimed Profiles comes from external sources rather than from the Community.
  • Accuracy of public data. Public regulatory data may lag official updates, may contain source errors, and may be presented in summarized form. The official websites and records of the issuing agencies remain the authoritative source. We do not guarantee the accuracy, completeness, or timeliness of public data displays, and they are not a statement by Next Chapter Living about the quality of any community.
  • Corrections. If you believe public data displayed on the Platform is inaccurate or outdated, contact support@nextchapterliving.com with the community name, the page link, the specific item, and a link to or copy of the official record. We will review and may update, annotate, or link to the official source. We do not guarantee any particular change or timeline.
  • Neighborhood information. We may display neighborhood context such as walkability and transit scores, crime metrics, and distances to nearby hospitals, sourced from third-party providers. These third-party data products are provided as is, follow their providers' methodologies and update cycles, and are informational only. We do not independently validate them and make no warranty regarding them.
  • Appendix A. Appendix A (Public Data Sources and Attributions), published with these Terms on the Platform, is incorporated by reference and lists the primary government sources used to compile public regulatory data.

5. Inquiries, Your Direction to Share, and Communications

  • Your direction to share your inquiry. When you submit an inquiry, tour request, message, waitlist signup, or similar request concerning a specific Community, you use and direct Next Chapter Living to intentionally disclose the information you provide, including your name and contact information, to that Community so it can respond to you. We share your inquiry only with the Community you selected. We do not share your inquiry with other communities, and we will not do so without your separate, express direction. Communities that receive your information are independent businesses that handle it under their own privacy practices; our Privacy Policy explains this in detail.
  • Consent to be contacted. By submitting an inquiry to a Community, you consent to be contacted by Next Chapter Living and by that Community regarding your inquiry at the contact details you provide, including by phone call, text message, and email, and including, where you have separately and expressly agreed on the applicable form, calls or texts placed using automated telephone dialing systems or prerecorded or artificial voice messages. Your consent to automated marketing calls or texts is not a condition of using the Platform or of receiving services. This consent applies even if your number is on a federal, state, or internal do-not-call registry. Message and data rates may apply.
  • Stopping contact. You may withdraw your consent at any time. You can reply STOP to any text message, use any reasonable opt-out method, or email support@nextchapterliving.com. We honor revocations within the timeframes required by law. You may also tell us at any time to direct a Community to stop contacting you about your inquiry, and we will promptly convey that instruction.
  • Recorded and monitored calls. Telephone numbers displayed on Community profiles may be tracking numbers operated by or for Next Chapter Living that connect you directly to the Community. Calls placed to these numbers may be recorded and monitored for quality assurance, service verification, and record-keeping, and a notice is played before any recording begins. By continuing a call after the notice, you consent to the recording. If you do not wish to be recorded, you may hang up and contact the Community by other means.
  • Email communications. If you receive marketing email from us, each message will include an unsubscribe mechanism, and we honor opt-outs promptly in accordance with the CAN-SPAM Act. Transactional and relationship messages, such as responses to your inquiries, are not affected by a marketing opt-out.

6. Accounts, Acceptable Use, and Automated Access

  • Accounts. Some features require an account. You agree to provide accurate information, keep it current, and protect your credentials. You are responsible for activity under your account. Notify us immediately of any unauthorized use.
  • Acceptable use. You agree not to use the Platform to violate any law, infringe anyone's rights, harass or harm others, submit false or misleading information, impersonate any person or entity, interfere with the Platform's operation or security, or attempt to access data or systems you are not authorized to access. We reserve the right to monitor activity and content on the Platform and to investigate and take appropriate action, including removal of content and suspension or termination of access, against anyone who, in our judgment, violates these Terms.
  • Automated access, scraping, and artificial intelligence. You may not access, search, scrape, harvest, extract, or download data from the Platform, including listings, profiles, reviews, metrics, and public regulatory compilations, using automated means such as bots, spiders, crawlers, or similar tools, except through a documented interface we make available with our prior written permission. You may not replicate, mirror, frame, or index the Platform or any substantial portion of its content, and you may not use Platform content, in whole or in part, to create, train, fine-tune, or enhance any machine learning or artificial intelligence model, dataset, or derived product, without our express written consent. We grant operators of public search engines a limited, revocable permission to use spiders to copy materials from the Platform solely as necessary to create publicly available searchable indices of the materials, and not to create caches, archives, datasets, or training corpora. We may revoke this permission generally or in specific cases at any time. We reserve all rights and remedies for violations of this Section, including injunctive relief.

7. Reviews and User Content

  • Your content. The Platform may allow you to submit reviews, ratings, questions, answers, photos, and other materials ("User Content"). You retain ownership of your User Content. By submitting it, you grant Next Chapter Living a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and create excerpts of your User Content in connection with operating, improving, and promoting the Platform. This license is non-exclusive: nothing in these Terms limits your right to post your review or content anywhere else, and nothing in these Terms imposes any penalty, fee, or restriction for doing so.
  • Your representations. When you submit a review of a Community, you represent that it reflects your genuine, first-hand experience or that of an immediate family member on whose behalf you participated in the experience; that you have not received compensation or anything of value in exchange for the review, or that any incentive you received was not conditioned on the review being positive and is disclosed; that you do not work for, own an interest in, or represent a competitor of the reviewed Community without disclosing that relationship; and that your review is accurate to the best of your knowledge.
  • Moderation. We do not filter or suppress reviews based on their rating or sentiment. We may decline to publish, or may remove, User Content only where it contains confidential or private information about a person, is defamatory, harassing, abusive, obscene, vulgar, sexually explicit, or discriminatory, is unrelated to the products or services offered, or is clearly false or misleading, or where removal is required by law. We publish reviews that meet our criteria whether they are positive or negative. Communities may be given the ability to publicly respond to reviews of their own profile.
  • Responsibility. User Content reflects the views of its author, not of Next Chapter Living. We are not responsible for User Content, and we do not adopt it. We may, but are not obligated to, monitor User Content.

8. Fees and Paid Programs

  • Free for consumers. We do not charge consumers fees to use the Platform. If that ever changes for an optional consumer feature, we will disclose all charges clearly before you incur them.
  • Community and business programs. Communities and other businesses that participate in paid programs agree to fees and terms presented at signup or in a separate written agreement. Those program terms, including pricing, billing, cancellation, and any program-specific conditions, are between Next Chapter Living and the participating business and control over these Terms for that program to the extent of any conflict. All fees are quoted in U.S. dollars and, unless expressly stated otherwise in the applicable program terms, are exclusive of taxes and nonrefundable.
  • Changes. We may change our business offerings and fee structures for Communities from time to time. Material changes will be communicated to affected businesses in accordance with the applicable program terms.

9. Privacy

Our collection, use, and sharing of personal information is described in our Privacy Policy, which is incorporated into these Terms. By using the Platform, you acknowledge the Privacy Policy. Where these Terms and the Privacy Policy address the same subject, the Privacy Policy controls as to privacy matters.

10. SMS and Text Messaging Terms

  • Program. Next Chapter Living offers an SMS program through which users who opt in receive informational text messages, such as follow-ups to inquiries, responses to questions, and information about the Platform.
  • Opt-in. By providing your phone number and checking the SMS consent box on a Platform form, you expressly consent to receive text messages from Next Chapter Living at that number. Consent to receive text messages is not a condition of using the Platform or of any purchase or service.
  • Frequency, rates, and carriers. Message frequency varies based on your activity and inquiries. Message and data rates may apply according to your carrier plan. Carriers are not liable for delayed or undelivered messages.
  • Opt-out and help. Reply STOP to any message to opt out; we will send a single confirmation and cease messages. Reply HELP for assistance or contact support@nextchapterliving.com. We honor opt-out requests promptly and in any event within the timeframes required by applicable law and regulation, and we recognize standard revocation keywords.
  • No sharing of opt-in data. As stated in our Privacy Policy, mobile opt-in data and text messaging consent will not be shared with or sold to third parties or affiliates for marketing, promotional, or lead generation purposes.

11. Third-Party Services and Links

The Platform may contain links to, or integrate services from, third parties, including mapping, analytics, neighborhood data, and payment processing. We do not control and are not responsible for third-party sites, services, or content, and a link is not an endorsement. Your use of third-party services is governed by their own terms and privacy policies, which we encourage you to review.

12. Intellectual Property and Copyright Complaints

  • Our content. The Platform and its design, text, graphics, logos, icons, images, software, data compilations, and other materials (collectively, "Site Content"), other than User Content and Community Content, are the property of Next Chapter Living or its licensors and are protected by copyright, trademark, and other intellectual property laws. Next Chapter Living's names, logos, and marks are our trademarks, and no license to use them is granted by these Terms. Except as expressly permitted by these Terms or by us in writing, you may not copy, reproduce, modify, distribute, create derivative works of, publicly display, or commercially exploit Site Content.
  • Limited license to you. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial senior living research, subject to these Terms.
  • Copyright complaints. We respect intellectual property rights and respond to notices that comply with the Digital Millennium Copyright Act. If you believe content on the Platform infringes your copyright, send a notice containing the elements required by 17 U.S.C. 512(c)(3) to our designated agent at support@nextchapterliving.com with the subject line "DMCA Notice." We may remove content alleged to be infringing, may forward notices to the poster, and may terminate repeat infringers' access.

13. Disclaimers of Warranties

THE PLATFORM AND ALL CONTENT, DATA, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXT CHAPTER LIVING DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT ANY INFORMATION, INCLUDING COMMUNITY CONTENT, PUBLIC REGULATORY DATA, NEIGHBORHOOD DATA, PRICING, OR AVAILABILITY, IS ACCURATE, COMPLETE, OR CURRENT; OR THAT ANY COMMUNITY WILL MEET YOUR NEEDS OR EXPECTATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXT CHAPTER LIVING AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, OR ANY INTERACTIONS OR DEALINGS WITH ANY COMMUNITY OR OTHER USER, UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF NEXT CHAPTER LIVING AND ITS AFFILIATES AND AGENTS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE AMOUNTS YOU PAID TO NEXT CHAPTER LIVING IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, AND DO NOT LIMIT THE STATUTORY RIGHTS DESCRIBED IN SECTION 18. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless Next Chapter Living and its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms, your User Content, your misuse of the Platform, or your violation of any law or of any rights of a third party. We reserve the right, at your expense, to assume the exclusive defense of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

16. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IT PROVIDES THAT MOST DISPUTES BETWEEN YOU AND NEXT CHAPTER LIVING WILL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION, AND YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

  • Informal resolution first. Before either party initiates arbitration or any other proceeding, the party asserting a dispute must send the other an individualized written notice describing the dispute, the claimant's name and contact information, and the relief sought, to support@nextchapterliving.com (or, from us, to your account email). The parties agree to attempt in good faith to resolve the dispute informally for 60 days from receipt of a complete notice, including at least one telephone or video conference if either party requests it. Any applicable statute of limitations is tolled during this period. Completion of this process is a condition precedent to filing any arbitration or court proceeding, and a court or arbitrator may enjoin proceedings filed without it.
  • Agreement to arbitrate. Except as provided under Exceptions below, you and Next Chapter Living agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform (a "Dispute") shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. This agreement to arbitrate is governed by the Federal Arbitration Act. The arbitrator, and not any court, has exclusive authority to resolve disputes about the interpretation, applicability, or enforceability of this arbitration agreement, except that the enforceability of the Class Action Waiver and the Batching provision below are for a court to decide.
  • Arbitration procedure. Arbitration will be conducted by a single arbitrator. Any hearing will be held in the county where you reside, or remotely by agreement or under AAA rules. AAA consumer fee schedules apply, and where the AAA rules cap your filing fees, you will not pay more than the capped amount; Next Chapter Living pays all other administrative and arbitrator fees required by the rules. Each party bears its own attorneys' fees except where the law provides otherwise. The arbitrator may award the same individual relief a court could award, including statutory damages and attorneys' fees where authorized by law.
  • Exceptions. Either party may bring an individual claim in small claims court in the county where you reside if it qualifies. Either party may seek injunctive or other equitable relief in court to protect intellectual property rights or to prevent unauthorized access to or abuse of the Platform. To the extent the law of your state grants you a non-waivable right to seek public injunctive relief, this Section does not require arbitration of that request for relief where such a requirement would be unenforceable.
  • Class action waiver. You and Next Chapter Living each agree that Disputes may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding. If this Class Action Waiver is held unenforceable as to a particular Dispute, then that Dispute, and only that Dispute, shall proceed in court, and Section 17 governs venue.
  • Coordinated filings. If 25 or more arbitration demands of a substantially similar nature are filed against Next Chapter Living within a 90-day period by the same law firm or by law firms acting in coordination, the parties agree that the demands shall be administered under the AAA Mass Arbitration Supplementary Rules, including their fee schedules and the appointment of a process arbitrator, and may be resolved in staged batches of no more than 50 demands per batch, with each batch proceeding concurrently before separate arbitrators to the extent the AAA can accommodate. No arbitration outcome shall be binding on any claimant who was not a party to that arbitration. If this Coordinated Filings provision is held unenforceable, it shall be severed, and the remainder of this Section 16 remains in effect.
  • Opt-out. You may opt out of this arbitration agreement and the class action waiver by emailing support@nextchapterliving.com with the subject line "Arbitration Opt-out" within 30 days after you first accept these Terms. Your notice must include your name, the email address associated with your account if any, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.
  • Finality. The arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

17. Governing Law, Venue, and Preserved Rights

  • Governing law. These Terms and any Dispute are governed by the laws of the State of Delaware, without regard to conflict of laws principles, except that the Federal Arbitration Act governs Section 16. This choice of law does not deprive you of the protection of laws of the state where you reside that cannot be waived or varied by contract, and nothing in these Terms waives, limits, or purports to waive or limit any right or remedy you hold under a non-waivable statute of your state, including state senior referral agency statutes described in Section 18.
  • Venue. Subject to Section 16, any Dispute that proceeds in court shall be brought exclusively in the state or federal courts located in Delaware or in the federal or state courts of the county where you reside, and the parties consent to the jurisdiction of those courts. Nothing in this Section prevents either party from bringing a qualifying claim in small claims court.

18. Rights of Consumers Using Referral Services in Certain States

Some states regulate businesses that are paid by senior living communities in connection with referrals, and grant consumers specific rights. Regardless of your state, Next Chapter Living honors the following for every consumer: you may stop using our services at any time, without penalty, including telling us to stop any further use or sharing of your information for referral purposes; if you tell us to stop, we will promptly notify any Community that received your inquiry from us; we do not refer consumers to any facility that Next Chapter Living or its owners own, operate, or hold a financial interest in; and we will provide you, on request, a list of the Communities that received your information from us. If you reside in, or are seeking care in, a state with a senior referral agency law, including Washington, Oregon, Colorado, Arizona, Texas, Maryland, or Georgia, you may have additional rights, and you will receive any disclosures and acknowledgment requests required by your state at or before the time of your referral. Where a statute of your state grants you rights or remedies that differ from these Terms, including rights that cannot be waived, those statutory rights control.

19. Miscellaneous

  • Termination. You may stop using the Platform, and may close your account, at any time. We may suspend or terminate access to the Platform for any user who violates these Terms or where required to protect the Platform, our users, or third parties. Sections that by their nature should survive termination survive, including Sections 4, 6, 7, and 12 through 19.
  • Accessibility. We are committed to making the Platform usable for people of all abilities. If you encounter an accessibility barrier, contact support@nextchapterliving.com and we will work with you to provide the information or service you need through a reasonable alternative method.
  • Entire agreement. These Terms, the Privacy Policy, Appendix A, and any program terms accepted at signup are the entire agreement between you and Next Chapter Living regarding the Platform and supersede prior agreements on that subject. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions remain in full force.
  • No waiver. Our failure to enforce any provision is not a waiver of it.
